Terms of Service

1. Acceptance of Terms

By accessing or using OpenPOS ("the Service"), operated by OpenPOS Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

OpenPOS provides an AI-powered restaurant platform including website generation, online ordering, menu management, reservations, analytics, staff operations, and AI management tools. The Service is provided on an "as-is" basis and may be updated, modified, or discontinued at any time.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of the business you represent.

4. Revenue Sharing & Fees

OpenPOS operates on a revenue sharing model. By using the Service to process orders, you agree that OpenPOS retains a percentage of each transaction as described in your plan. Current rates and plan details are available on our pricing page and within the dashboard.

AI Manager subscription fees, if applicable, are billed monthly. You may cancel your subscription at any time. Fees are non-refundable except as required by law.

5. Payment Processing

Payment processing is provided by Stripe. By using the Service, you agree to Stripe's Terms of Service and Privacy Policy. You are responsible for maintaining a valid Stripe Connect account to receive payouts.

6. Your Content

You retain ownership of all content you provide (restaurant information, menus, images, etc.). By using the Service, you grant OpenPOS a license to display, distribute, and process your content as necessary to operate the Service.

Content generated by AI (websites, descriptions, images) is provided for your use on the platform. You are responsible for reviewing AI-generated content for accuracy before publishing.

7. Open Data & AI Access

By default, your public restaurant data (menu, hours, location) is accessible via our open API to enable AI agents and third-party integrations to discover and interact with your restaurant. You may opt out of public API access from your dashboard settings.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Misrepresent your restaurant or menu offerings
• Interfere with or disrupt the Service
• Attempt to access other users' accounts or data
• Use the Service to transmit harmful or fraudulent content

9. Limitation of Liability

To the maximum extent permitted by law, OpenPOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

10. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease. We will provide a reasonable period to export your data. Any outstanding revenue share balances will be settled within 30 days of termination.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
